Voorks Platform Terms of Use

These Terms of Use ("Terms") govern the use of the Voorks platform ("Platform"), owned and operated by TALKEY LTDA, a company enrolled with the Brazilian National Registry of Legal Entities (CNPJ) under No. 60.804.022/0001-36, headquartered in Jundiaí, State of São Paulo, Brazil ("Voorks", "we" or "Operator").
By accessing, registering on or using the Platform, the User (whether a Platform Account or an End User) declares that they have read, understood and fully agree with these Terms, which establish rights, obligations and responsibilities. If you do not agree with any provision, you must immediately stop using the Platform.
1. Definitions
For the purposes of these Terms, the following definitions apply:
- Platform or Voorks: the technology environment provided by TALKEY LTDA that allows Platform Accounts to configure, train and manage AI-based service agents, as well as to connect human agents to communication channels.
- Platform Account: the individual or legal entity that registers on Voorks to create, configure and operate its own service agents, trained with its own content, and to connect its human agents. It is fully responsible for the content it enters, for the configuration of the agents and for the interactions with End Users.
- End User: the person who interacts with the service agents configured by Platform Accounts, through artificial intelligence or with the assistance of human agents.
- User: a generic term covering both Platform Accounts and End Users.
- Account Content: all material, data, text, knowledge bases, configurations, prompts and information entered or uploaded by the Platform Account.
- Third-Party Services: third-party tools, APIs and services integrated into the Platform, including providers of artificial intelligence models, messaging channels and infrastructure providers.
2. Acceptance of the Terms
By using Voorks, the Platform Account or the End User expressly agrees to all the clauses and conditions set out herein. Acceptance may occur through registration, by checking an agreement box or by the mere use of the Platform.
When registration is carried out by a person acting on behalf of a legal entity, that person declares that they have the authority to bind the respective organization to these Terms.
3. Registration and Access Account
To use the Services, the Platform Account must provide true, accurate and up-to-date information, and is responsible for keeping it so throughout the entire relationship.
The Platform Account is solely responsible for safeguarding and keeping its access credentials confidential, and is liable for all activities carried out under its account. In the event of unauthorized use or suspected security compromise, the Platform Account must notify Voorks immediately.
Voorks may refuse, suspend or cancel registrations that contain false or incomplete information or that violate these Terms.
4. Description of the Services
Voorks provides a technology environment that allows Platform Accounts to create, configure, train, publish and manage AI-powered service agents, in addition to enabling human agents to operate on the connected channels.
The agents are configured and trained exclusively by the Platform Accounts, based on their own content, interaction rules and knowledge bases. Voorks provides the technical infrastructure, but does not create, review or pre-approve the content of the agents or the interactions arising from them.
Voorks may, at its discretion, add, modify, discontinue or limit features, modules or resources of the Platform, seeking to communicate relevant changes in advance whenever possible.
5. Plans, Payment and Billing
Access to the Services may be subject to the purchase of paid plans, in accordance with the amounts, billing cycle and conditions stated at the time of purchase or in a specific commercial proposal.
- Amounts may be adjusted upon prior notice, observing the applicable legal and contractual periodicity.
- Failure to pay amounts due on their due dates may result in suspension or cancellation of access, without prejudice to the collection of outstanding amounts.
- Any taxes levied on the Services shall be borne by the party legally responsible for them.
- Unless expressly stated otherwise, amounts paid are non-refundable in the event of cancellation initiated by the Platform Account before the end of the contracted period.
Any Third-Party Service consumption passed on to the customer (for example, costs of artificial intelligence models or messaging) will follow the conditions stated in the plan or proposal.
6. Responsibilities of the Platform Account
The Platform Account is responsible for:
- Configuring its agents and continuously monitoring interactions with End Users;
- Ensuring that the Account Content is lawful, accurate and does not violate third-party rights or applicable law;
- Obtaining the legal bases and consents necessary for the processing of its End Users' personal data, acting as controller of such data, pursuant to Section 13;
- Properly informing its End Users about the automated nature of the service, where applicable;
- Complying with the sector-specific legislation applicable to its business and its communications.
The Platform Account acknowledges that it is solely responsible for decisions made based on the agents' interactions and for the content made available to End Users.
7. Account Content and License of Use
The Platform Account retains ownership of the Account Content. By using the Platform, the Platform Account grants Voorks a non-exclusive, limited and revocable license to host, process, transmit and display such content, solely to the extent necessary to provide the Services, including transmission to Third-Party Services essential to the operation of the agents.
Voorks does not claim ownership of the Account Content and will not use it for purposes unrelated to the provision of the Services without express authorization.
8. Artificial Intelligence and Limitations
The Platform Account and End Users acknowledge that the agents use artificial intelligence technologies, including language models, whose results are generated probabilistically.
As a result:
- The responses generated may contain inaccuracies, incorrect or outdated information, and must not be treated as professional advice (legal, medical, financial or of any other nature);
- Voorks does not guarantee the accuracy, completeness or suitability of the responses for any specific purpose;
- It is up to the Platform Account to implement reviews, validations and safeguards appropriate to its use case, especially in sensitive or regulated contexts.
Voorks is not liable for decisions made solely on the basis of content generated by the agents.
9. Integrations with Third-Party Services
The Platform may integrate with Third-Party Services, such as providers of artificial intelligence models, messaging channels and infrastructure providers. The use of these services is subject to the respective terms and policies of each third party.
The Platform Account is responsible for complying with the rules of the channels and services it connects, including usage policies, message-sending rules and consent requirements. Voorks is not liable for unavailability, policy changes, suspensions or failures attributable to Third-Party Services.
10. Rules of Conduct and Acceptable Use
Platform Accounts and End Users undertake to use the Platform in an ethical and lawful manner and with respect for the rights of third parties. The following is expressly prohibited:
- Publishing content that is offensive, abusive, discriminatory, defamatory, obscene or that incites violence;
- Reproducing, sharing or disclosing confidential or copyrighted information without proper authorization;
- Using the Platform to promote illegal, fraudulent or deceptive activities;
- Sending unsolicited bulk messages (spam) or messages that violate the rules of the connected channels;
- Attempting to access restricted areas, compromising the security or integrity of the Platform, performing reverse engineering, or circumventing technical and usage limits;
- Using the Platform to collect third parties' personal data without an adequate legal basis.
Failure to comply with these rules may result in immediate suspension of access, in addition to the applicable legal measures.
11. Intellectual Property
All content, trademarks, logos, names, layout, graphics, texts, source code, software and other elements of the Voorks Platform are the exclusive property of TALKEY LTDA or its licensors, protected by Brazilian and international intellectual property law.
Reproduction, distribution, modification, decompilation or any other use without prior express authorization is prohibited. These Terms do not transfer to the User any intellectual property rights over the Platform, but only the limited right of use as provided herein.
12. Availability, Support and Service Levels
Voorks will use reasonable efforts to keep the Platform available and functional. However, the Services are provided "as is" and "as available", and there may be scheduled interruptions for maintenance or interruptions resulting from external factors.
Any specific commitments regarding availability, support or service levels (SLA) shall only be enforceable when expressly provided for in a plan or contract entered into between the parties.
13. Data Protection and Roles under the LGPD
TALKEY LTDA and Voorks process personal data in compliance with Brazilian Law No. 13,709/2018 (the Brazilian General Data Protection Law, "LGPD"). The roles of the parties are defined as follows:
- Platform Account data: with respect to the registration and usage data of the Platform Accounts themselves, Voorks acts as controller.
- End User data: with respect to the personal data entered, collected or processed through the agents configured by the Platform Accounts, the Platform Account acts as controller and Voorks acts as processor, processing such data in accordance with the Platform Account's instructions and to the extent necessary to provide the Services.
The Platform Account, in its capacity as controller of its End Users' data, is responsible for defining the purposes and legal bases of the processing, responding to data subjects' requests and properly informing its End Users.
Details on collection, use, sharing, security and data subjects' rights are set out in the Voorks Privacy Policy, which forms an integral part of these Terms.
14. Suspension and Cancellation of Services
Voorks may, at its discretion and upon notice where applicable, suspend, restrict or cancel the access of any Platform Account or End User that:
- Violates any provision of these Terms;
- Configures agents with inappropriate or unlawful content or content that infringes third-party rights;
- Attempts to compromise the security or integrity of the Platform;
- Is in default of payment.
Voorks may remove content that violates its policies and take the legal measures necessary to protect the rights of End Users and of the Platform itself.
15. Term and Termination
These Terms remain in force for an indefinite period, for as long as the Platform Account maintains access to the Platform.
The Platform Account may close its account at any time, subject to the conditions of the contracted plan. Voorks may terminate the relationship in the event of a violation of these Terms or due to discontinuation of the Services, upon reasonable prior notice.
Once the relationship has ended, the processing and possible deletion of data will follow the Privacy Policy and applicable law.
16. Limitation of Liability
Voorks provides the technology infrastructure for Platform Accounts to operate their agents. TALKEY LTDA is not responsible for the content, the quality of the interactions or the results arising from interactions between End Users and the configured agents.
Voorks is not liable for:
- Errors or failures resulting from external interruptions, connection failures or problems with Third-Party Services;
- Data loss or damage resulting from improper use of the Platform;
- Content generated by the agents or decisions made based on it.
To the maximum extent permitted by applicable law, Voorks' total liability is limited to the amount actually paid by the Platform Account in the 12 months preceding the event giving rise to the liability. Under no circumstances shall Voorks be liable for indirect damages, loss of profits or consequential damages, except in cases of proven willful misconduct or gross negligence.
17. Indemnification
The User agrees to indemnify, defend and hold harmless TALKEY LTDA, its partners, officers, employees and business partners from any claims, losses, damages, liabilities and expenses (including attorneys' fees) arising from improper use of the Platform, breach of these Terms or acts that violate third-party rights.
18. Confidentiality
The parties undertake to maintain the confidentiality of confidential information to which they have access by reason of the relationship, using it only for the purposes of providing the Services and adopting reasonable protective measures. This obligation survives the termination of the relationship.
19. Force Majeure
Voorks shall not be held liable for failure or delay in the performance of obligations resulting from events beyond its reasonable control, such as government acts, natural disasters, widespread telecommunications or power failures, strikes, wars or other force majeure situations.
20. Changes to the Terms
Voorks reserves the right to change these Terms at any time, communicating the changes through the Platform itself or other official channels. Continued use of the Platform after the changes take effect will constitute acceptance of the new terms.
21. Communications and Notices
Communications from Voorks to the User may be made through the Platform, to the registered e-mail address or through other official channels. The User is responsible for keeping their contact details up to date.
22. Assignment
The User may not assign or transfer the rights and obligations arising from these Terms without Voorks' prior consent. Voorks may assign these Terms in the context of corporate reorganization, merger, acquisition or transfer of assets, upon notice to the User.
23. Governing Law and Jurisdiction
These Terms are governed by Brazilian law, in particular by the LGPD and the Brazilian Internet Civil Framework (Law No. 12,965/2014). The courts of the Judicial District of Jundiaí, State of São Paulo, Brazil, are elected to settle any disputes, to the exclusion of any other, however privileged it may be.
24. General Provisions
These Terms constitute the entire agreement between the User and TALKEY LTDA regarding the use of the Platform, superseding any prior understandings, whether verbal or written. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any failure to exercise a right shall not constitute a waiver, and such right may be exercised at any time.
